1) Acceptance of Terms
By accessing or using any websites, applications, software, products, content, features, or other offerings provided by Multiplexly LLC (collectively, the “Services”), you agree to be bound by these Terms of Service (the “Terms”) and our Privacy Policy. Multiplexly LLC (“Multiplexly”, “we”, “us”, or “our”) operates and provides the Services, which include, without limitation, websites, online platforms, mobile applications, software tools, digital content, customer support, and any future updates, features, or products. “You” or “your” refers to the individual or entity accessing or using the Services. If you do not agree to these Terms, do not access or use the Services.
2) Eligibility
You must be at least the age of majority in your jurisdiction and capable of forming a binding contract. If you use the Services on behalf of an organization, you represent that you are authorized to accept these Terms on its behalf.
3) Accounts & Security
- You may need an account to use some features. Provide accurate information and keep it updated.
- You are responsible for safeguarding your credentials and for all activities under your account.
- Notify us immediately of any unauthorized use or security breach at security@multiplexly.com.
4) User Content
- "User Content" means anything you submit, upload, post, or otherwise make available via the Services.
- You retain ownership of your User Content. By providing User Content, you grant Multiplexly LLC a worldwide, non-exclusive, royalty-free license to host, store, reproduce, and display it as necessary to operate and improve the Services.
- You are solely responsible for your User Content and represent that you have all rights necessary to grant the above license.
- We may remove or disable content that we reasonably believe violates these Terms or the law.
5) Acceptable Use
You agree not to:
- Use the Services for unlawful, harmful, fraudulent, or misleading purposes.
- Infringe or misappropriate intellectual property, privacy, or other rights.
- Upload malicious code or interfere with the integrity or performance of the Services.
- Attempt to gain unauthorized access to systems, accounts, or data.
- Bypass or circumvent rate limits or access restrictions.
- Engage in scraping, crawling, or harvesting except as permitted by robots.txt or with our written consent.
- Send spam, phishing, or unsolicited communications.
6) Intellectual Property
- The Services, including text, graphics, logos, software, and other materials, are owned by Multiplexly LLC or its licensors and are protected by intellectual property laws.
- Except as expressly permitted, you may not copy, modify, distribute, sell, or lease any part of the Services.
7) Paid Services (If Applicable)
- Pricing & Taxes. Prices are listed at checkout or in your plan details and are subject to applicable taxes.
- Billing. You authorize us (and our payment processors) to charge your payment method for all fees. All fees are payable in the currency stated at purchase and are non-refundable except as required by law or expressly stated here.
- Subscriptions & Auto-Renewal. If you purchase a subscription, it will auto-renew at the then-current rate unless you cancel before the renewal date. You can cancel in your account settings or by contacting billing@multiplexly.com.
- Trials & Promotions. We may offer free trials or discounts. We reserve the right to modify or end offers at any time. If you do not cancel before the trial ends, you will be charged per your selected plan.
8) Third-Party Services
The Services may link to or integrate with third-party products and services. We do not control and are not responsible for third-party services, and your use of them may be subject to separate terms and privacy policies.
9) Privacy
Our collection and use of personal data is described in our Privacy Policy. You agree to our data practices as described there. If you need a separate Data Processing Addendum ("DPA"), contact privacy@multiplexly.com.
10) Beta Features (If Offered)
We may offer features labeled as beta, preview, early access, or similar. These are provided "as is", may be changed or discontinued at any time, and may be subject to additional terms.
11) Feedback
If you send ideas or suggestions ("Feedback"), you grant us a perpetual, worldwide, irrevocable, royalty-free license to use the Feedback without restriction or compensation.
12) DMCA/Copyright
If you believe content infringes your copyright, send a notice to dmca@multiplexly.com with:
- Your contact information;
- Identification of the copyrighted work and the infringing material;
- A statement under penalty of perjury that you have a good-faith belief the use is not authorized;
- A statement that the information is accurate and that you are the copyright owner or authorized to act; and
- Your physical or electronic signature.
13) Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE". TO THE MAXIMUM EXTENT PERMITTED BY LAW, MULTIPLEXLY LLC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.
14) Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL MULTIPLEXLY LLC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOU TO MULTIPLEXLY LLC FOR THE PRODUCTS OR SERVICES IN THE 12 MONTHS PRECEDING THE CLAIM; OR (B) $100.
15) Indemnification
You agree to defend, indemnify, and hold harmless Multiplexly LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Services or your violation of these Terms.
16) Suspension & Termination
We may suspend or terminate your access at any time if we reasonably believe you have violated these Terms or create risk or possible legal exposure for us. You may stop using the Services at any time. Upon termination, the licenses granted to you will end, but sections that by their nature should survive will survive (e.g., IP, disclaimers, limitations of liability, indemnification).
17) Governing Law; Dispute Resolution
- Governing Law & Venue. These Terms are governed by the laws of the State of California, excluding its conflict of law rules. Except as provided under the Arbitration provision below, any legal action or proceeding arising out of or relating to these Terms shall be brought exclusively in the state or federal courts located in Orange County, California. You consent to the personal jurisdiction and venue of such courts.
- Arbitration. Except for (i) claims that qualify for small claims court, or (ii) requests for injunctive or equitable relief, any dispute, claim, or controversy arising out of or relating to these Terms, including the breach, termination, enforcement, or interpretation thereof, shall be resolved by binding arbitration administered by the American Arbitration Association (“AAA”) under its Commercial Arbitration Rules. The arbitration shall take place in California, and judgment on the award rendered by the arbitrator(s) may be entered in any court of competent jurisdiction. California law (excluding its conflict of law rules) shall govern the arbitration and these Terms.
- Opt-Out. You may opt out of arbitration within 30 days of first accepting these Terms by emailing legal@multiplexly.com with the subject line "Arbitration Opt-Out" and your full name and address.
18) Changes to the Services & Terms
We may modify the Services and these Terms at any time. If changes are material, we will provide notice (e.g., by posting on the site or emailing you). Changes take effect when posted unless otherwise stated. Your continued use after changes become effective constitutes acceptance.
19) International Use & Export Controls
You are responsible for complying with local laws. You agree not to export or re-export the Services except as authorized by United States law and the laws of the jurisdiction(s) in which the Services were obtained.
20) Miscellaneous
- Entire Agreement. These Terms, together with any applicable order forms and our Privacy Policy, constitute the entire agreement between you and Multiplexly LLC.
- Severability. If any provision is unenforceable, the remainder remains in effect.
- Assignment. You may not assign or transfer these Terms without our consent. We may assign these Terms without restriction.
- No Waiver. Failure to enforce any provision is not a waiver of the right to do so later.
- Force Majeure. We are not liable for delays or failures due to events beyond our reasonable control (e.g., natural disasters, acts of war, terrorism, government actions, labor disputes, or internet service disruptions).
- Notices. We may provide notices by email, postal mail, or by posting to the Services.
